For question 2 – let`s say we receive hardware A from a company. The Company asks us to provide them with (a) rights to the changes and (b) sample changes. Our investigator plans to use material A with material B. If Material B restricts distribution or rights to third parties, there may be a conflict between the agreements. By identifying the third-party materials we will use with Material A, we can address these potential concerns in advance. The Recipient may not assign or otherwise transfer this MTA or any right or obligation under this MTA, whether by operation of law or otherwise, without the prior written consent of ATCC, and any such attempted assignment or transfer shall be null and void and without force or effect. This MTA is binding on all authorized successors and assigns. This ATM, including all documents incorporated herein by reference, constitutes the entire agreement between ATCC and the Recipient with respect to the ATCC Materials and supersedes all prior agreements between ATCC and the Recipient with respect to the ATCC Materials. Nothing herein shall be deemed suspended or modified and no breach shall be excused unless such waiver or consent must be in writing and signed by the parties.

If any provision of this ATM is held to be unenforceable for any reason, the remainder of such ATM shall remain in full force and effect. Provisions of this MLC which, by their nature or scope, are intended to survive termination or expiration shall survive. Nothing in this ATM is intended to create a relationship between ATCC or the Beneficiary, other than those of independent companies that mutually bind each other under this Agreement solely for the purpose of implementing the provisions of this ATM. The undersigned declare that they have full authority to carry out this ATM and to bind the parties for and on behalf of the legal entities listed below. A Materiel Transfer Agreement (TMA) is a contract that governs the transfer of research material between two organizations if the recipient intends to use the material for its own research purposes. An MTA defines the rights of the supplier and the consignee with respect to the materials and all derivatives. The Recipient expressly acknowledges that all ATCC trademarks are the exclusive property of ATCC and ATCC retains all right, title and interest in and to its trademarks, service marks, trade names, logos, catalogue numbers and ATCC-specific designations of ATCC Materials. Except as required in this Section on Proprietary Rights, the Recipient may not use the foregoing in any manner without THE prior written consent of ATCC. UW-Madison has negotiated a "framework agreement" with Addgene. To request materials from Addgene: ATCC easily recognizes the potential benefits of ATCC products in commercial applications.

To address this need, ATCC has implemented an external licensing program that allows institutions to use ATCC products for commercial purposes under a non-exclusive licensing agreement. While ATCC considers the Material Transfer Agreement (ATM) to be an essential part of the distribution of its biological materials, the ATCC`s licensing program for the commercial use of materials helps protect ATCC`s ability to provide research material for the benefit of the scientific community. UW-Madison, along with many other research institutions, is a signatory to the Uniform Bioligic Materials Transfer Agreement (UBMTA). If a cooperating institution is also a signatory to this Agreement, the documents may be transferred under the UBMTA after the execution of an execution letter for the respective transfer. All disputes arising out of this MTA shall be governed by the laws of the State of New York, without regard to its conflict of laws rules, and the addressee expressly accepts, subjugates and waives any objection to the sole and exclusive jurisdiction and venue of the courts of New York. If the recipient is a federal or state non-profit organization or a foreign public organization, any dispute arising out of this MTA will be heard exclusively in a court of competent jurisdiction. Possible commercial uses of ATCC Products that are outside of the MTA authorized by the ATCC Licensing Program include: For incoming MTAs, the standard matters here are as follows: To the extent permitted by law, Recipient indemnifies, defends and indemnifies ATCC and its contributors against all claims, losses, expenses and damages of third parties, including reasonable attorneys` fees (collectively, the "Claims") arising out of or in connection with the Recipient`s use and use. Assignees, receipt, handling, storage, transfer, disposal and other activities related to ATCC`s documents, provided that the recipient`s liability is limited to the extent that such claim is due to gross negligence or wilful misconduct on the part of ATCC.
