Open Door Agreement

Any use of our Services that is not expressly permitted under this Agreement is strictly prohibited. Subject to compliance with all of the above conditions, Opendoor will purchase the House from you in accordance with its standard agreement which we make available to you at the following price: For the avoidance of doubt, Opendoor`s maximum financial obligation associated with a return under the 90-day warranty will not exceed 97% of the adjusted purchase price. You agree to indemnify, defend and hold harmless Opendoor, its officers, directors, employees, affiliates, agents and licensors from and against all losses, expenses, damages and costs, including reasonable attorneys` fees, arising out of or in any way connected with (i) any breach or alleged breach by you of the terms of this Agreement or any applicable law. outcome; (ii) your access, use or misuse of our Services or Content; and/or (iii) any infringement by you of the copyright or intellectual property rights of any third party. You may not resolve any such claims or matters without the prior written consent of Opendoor. We reserve the right, at our own expense, to assume exclusive defense and control over any claim that is indemnified by you, and you further agree that you will fully cooperate in the defense of such claims. At your request, an Opendoor broker may refer you to a third party who may represent you in the purchase or sale of your home ("Opendoor Partner Agent"), and you may be eligible for promotions to work with that agent. If you choose to work with this agent, the referring broker will receive a referral fee. However, we never ask you to choose a specific agent to buy or sell a home.
