Pitney Bowes Lease Agreement

   

If you purchase an on-premises software license or on-demand subscription services, additional terms available by clicking on the hyperlink of that software or subscription service will apply to www.pitneybowes.com/ca/en/license-terms-of-use/software-and-subscription-terms-and-conditions.html. These additional terms are included by reference. (vii) You expressly authorize us and Canada Post to exchange with Canada Post all information about you, including your lease/lease agreement. We will charge you all payments for the order retrospectively, unless otherwise stated in the order (each such payment is a "recurring payment"). You will make any regular payment on the due date indicated on our invoice. Your regular payment may include a one-time origination fee, amounts transferred from a previous lease, software licensing and maintenance fees, and other fees. All meter service fees, SLAs, and subscription fees (collectively, "PBI payments") are included in your regular payment and begin at the beginning of the lease term. After the lease term, your periodic payment increases as your PBI payments increase. Your obligations, including your obligation to pay periodic payments due in a fiscal year during the term of this Agreement, constitute a current expense for that fiscal year and do not constitute a debt within the meaning of the Constitution and laws of the State in which you are located. Nothing in this document constitutes an undertaking by you of taxes or other funds (other than funds lawfully used from time to time by or to your benefit for this Agreement) to pay any periodic payment due under this Agreement. PBC will provide you with the Service for twelve months if you do not have a lease or the term of the lease if you lease Equipment (the "Initial Term of Service"). The Service will automatically renew for one year at a time (each, a "Renewal Service Term"), unless you cancel your Service as set forth below, or the lease expires or is terminated, or renewal is prohibited by law.

If you do not wish to renew the Service, you must send us written notice (the "Notice of Termination") to PO Box 278, Orangeville, ON L9W 2Z7, Attn: CRCA at least sixty days before the renewal of the Term, or you may notify us by creating a file under www.pitneybowes.com/ca/en/support/topics/account/how-to-submit-a-service-request-using-my-account.html (follow the instructions in the "How to Create a Case" section). Your cancellation must include your customer account number or CAN and your rental number (if applicable). PBC reserves the right not to renew your SLA for any reason. (a) We warrant that all Pitney Bowes Brand Equipment ("PBC Equipment") will be free from defects in materials and workmanship and will operate in accordance with user guides for a period of ninety days from the date on which (i) the PBC Equipment is installed at your location when PBC installs the PBC Device for you or (ii) the PBC Equipment is delivered to you, if you can install it yourself. The DI2000™ insertion system has its own unique warranty that you can see on www.pitneybowes.com/ca/en/di2000-terms.html. An error does not include the omission that the rates for a tariff update match the published rates. PBC may change its Service by notifying you in writing (a "Service Change Notice") as to whether the change is material. Upon receipt of a notice of service change, if the change is material, you may terminate the service by sending us a notice of termination at the address set out in section 20 or by creating a file under www.pitneybowes.com/ca/en/support/topics/account/how-to-submit-a-service-request-using-my-account.html (follow the instructions in the "How to create a case" section). We will charge you for all payments for the order quarterly in advance, unless otherwise stated in the order (each such payment is a "periodic payment"). You will make any regular payment on the due date indicated on our invoice.

If the purchase order involves the purchase of additional software products, you are authorized to use such software on a non-exclusive basis, subject to the applicable license terms at the following address: www.pitneybowes.com/us/license-terms-of-use/software-and-subscription-terms-and-conditions.html. These terms are incorporated by reference into this Agreement. (i) terminate this Agreement and any other agreement Pitney Bowes has entered into with you; This SLA section applies to you if we have entered into an agreement to provide services for the equipment we rent, lease or sell as part of the order, with the exception of DI2000 (covered equipment is referred to as "covered equipment"). Certain conditions that apply when you purchase, lease or lease a DI2000 insertion system and when you purchase a service plan for it are set out in www.pitneybowes.com/ca/en/di2000-terms.html and are incorporated by reference. These provisions shall apply to the extent that they are incompatible with the other provisions of this Agreement. What is CSP: Service contracts, also known as a full-service plan (CSP) or Equipment Maintenance Agreement (EMA), have a duration of 12 months.

The Comprehensive Service Plan (CSP) is your service contract with Pitney Bowes for equipment. This includes all maintenance calls, technical on-site calls, telephone support and, if necessary, replacement. These fees are set from the first moment the contract is signed for a rental or rental agreement. If CSP is required after the original agreement has been signed, contact 1-800-672-6937. (ii) require you to promptly pay us all amounts payable under the lease or other agreements, whether then due or payable in the future; (35) Entire Agreement. This Agreement constitutes the entire agreement between you and us with respect to the Equipment, Services and/or Maintenance Plan and supersedes all prior agreements and understandings between you and us with respect to the Equipment, Services and/or Maintenance Plan. (a) If you fail to make payment within three days of the due date indicated on our invoice, if you breach any other obligation under this Agreement or any other agreement with Pitney Bowes, and such breach continues for thirty days after we notify you or you become insolvent or declare bankruptcy, you will be in default and we may: Below are frequently asked questions and answers regarding leases and leases, as well as invoices and bank statements: You agree to pay us all applicable sales, use, property or other taxes (excluding net income taxes) in connection with the lease or rental of equipment or the meter services contract based on your payments that provide equipment, Device location, meter and meter location. If you receive an increase notification, you may only cancel your rental and/or metering services (but not the equipment rental) from the date the increase takes effect. If any property (including equipment and meters) leased or provided under this Agreement is located in the Province of Quebec, you hereby create a mortgage of $1,000,000 on all such properties (including equipment and meters) in accordance with the laws of Quebec as security for all advances and other financial obligations under this Agreement and to protect our interests in the property.
